Terms of Service

These Terms of Service ("Terms") govern your use of the Adsum platform at theadsum.com("Service"). By creating an account or using the Service, you agree to these Terms.

If you don't agree, don't use the Service.

1. The Service

Adsum is an AI-powered phone receptionist for small service businesses. The Service:

  • Answers your inbound business phone calls using an AI voice agent
  • Records and transcribes each call
  • Books appointments using configurable business rules
  • Sends SMS alerts when an emergency call is detected
  • Provides a web dashboard to review calls, appointments, and settings

2. Account

You must be at least 18 years old and authorized to enter contracts on behalf of your business. You are responsible for the accuracy of information you provide, for activity on your account, and for keeping your credentials secure.

3. Acceptable use

You agree not to:

  • Use the Service for illegal activity
  • Use the Service to make outbound robocalls, telemarketing calls, or spam
  • Misrepresent your business or your AI receptionist to callers in a deceptive way
  • Attempt to reverse-engineer, scrape, or otherwise misuse the platform
  • Interfere with the Service's operation or with other customers' use

4. Calls, recordings, and caller consent

When you connect your phone line to Adsum, the Service records and transcribes every inbound call answered by the AI receptionist.

You are solely responsible for ensuring that recording these calls is lawful in your jurisdiction and the caller's jurisdiction.In the United States, certain states (including California, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania, and Washington) require all parties on a call to consent to recording. You must ensure your AI receptionist's opening message informs callers that the call is being recorded — Adsum provides a default message you can customize for your jurisdiction.

You agree to indemnify Adsum against any claim arising from your failure to obtain proper consent.

5. AI limitations and disclaimers

The Service uses artificial intelligence to answer calls. You understand and accept that:

  • The AI may misunderstand callers, schedule incorrectly, or provide inaccurate information.
  • You should review every booking and appointment before treating it as confirmed.
  • The AI is not a substitute for professional advice (medical, legal, financial, emergency-services).
  • For genuine emergencies (911, fire, medical), callers should be directed to call emergency services directly.
  • The Service depends on third-party phone networks, AI providers, and infrastructure that may have outages. We do not guarantee 100% uptime.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

6. Payment

  • Plans are billed monthly in advance, in USD via Stripe.
  • By providing a payment method you authorize us to charge your plan's monthly fee plus any usage overage.
  • Overage rates apply when you exceed your plan's included call volume; current rates are shown on our pricing page.
  • Subscriptions auto-renew monthly until you cancel.
  • You can cancel any time from your billing portal. Cancellation takes effect at the end of the current billing cycle. You retain access until then.
  • Fees are non-refundable for partial months unless required by law.

7. Free trial

The 7-day free trial includes 20 calls. We do not charge you during the trial. To continue using the Service after the trial, you must select a paid plan.

8. Suspension and termination

We may suspend or terminate your account if you breach these Terms, fail to pay, attempt fraud, or use the Service in a way that causes harm to other customers or the public. We'll give you 7 days written notice except where immediate action is necessary to prevent ongoing harm.

You can terminate at any time by cancelling your subscription and contacting us to delete your account.

9. Your data and our data

You own the business data you create using Adsum, including your call records, transcripts, and appointment data. We act as a processor for that data on your behalf under our Privacy Policy.

We own the Adsum platform, software, brand, and AI configurations we develop. We may use aggregated, anonymized data (with no personal identifiers) to improve the Service.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSUM'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, OR DAMAGES ARISING FROM MISSED OR MISHANDLED CALLS.

11. Indemnification

You agree to defend, indemnify, and hold Adsum harmless from any claim, damage, or expense (including reasonable attorney fees) arising from:

  • Your violation of these Terms or any applicable law
  • Recording or transcribing calls without proper consent in your jurisdiction
  • The conduct of your business in handling appointments, customers, or callers
  • Any content you configure into your AI receptionist's prompt

12. Modifications to the Service or these Terms

We may modify the Service at any time. We may also update these Terms; if changes are material we'll notify you by email at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Mumbai, India.

14. Severability and entire agreement

If any provision of these Terms is held to be unenforceable, the rest of the Terms remain in effect. These Terms, together with our Privacy Policy, are the entire agreement between you and Adsum regarding the Service.
